Radford originates, structures, and advises on transactions. Capital may be provided by Radford or by third-party institutions, funds, or lenders, each of which conducts its own independent credit process and applies its own documentation, eligibility, and approval requirements.

Radford does not represent, and is not endorsed, sponsored, or approved by, the Export-Import Bank of the United States (EXIM), the U.S. International Development Finance Corporation (DFC), the U.S. Department of Energy, or any other agency of the United States. Advisory work relating to federal programs is undertaken on behalf of our clients. Program participation, authorization, and any final credit decision rest solely with the relevant agency.

III.Risk Disclosures

Financing secured by computing infrastructure, equipment, supplier deposits, or contracted revenue involves substantial risk of loss. Prospective borrowers and counterparties should evaluate the following, among other factors, with their own advisers.

  • Collateral value risk. AI and computing hardware is subject to rapid technological obsolescence, aggressive depreciation, oversupply, and thin or illiquid secondary markets. Realized recovery values may be materially below appraised, invoiced, or modeled values.
  • Counterparty and offtake risk. Facilities that rely on customer contracts, offtake agreements, or hosting arrangements are exposed to non-performance, renegotiation, termination, insolvency, or concentration in a small number of counterparties.
  • Refinancing and takeout risk. Bridge and pre-delivery facilities depend on a subsequent term financing, agency authorization, or capital event. Indicative or pre-negotiated takeout terms are not guarantees. A takeout may be delayed, repriced, reduced, or unavailable, which can result in extension fees, default interest, enforcement, or loss of collateral.
  • Delivery, construction, and completion risk. Manufacturing delays, shipping and customs disruption, tariffs, export controls, site readiness, interconnection and power availability, permitting, and contractor performance can each delay or prevent a project reaching revenue.
  • Interest rate, currency, and cost risk. Pricing may be floating or subject to reset. Rate movements, hedging costs, currency movements, insurance premiums, and fees can increase the total cost of capital, in some cases significantly.
  • Program and policy risk. Federal program eligibility, appropriations, content and sourcing requirements, policy priorities, and agency processing timelines can change. Timelines for federal-backed transactions are typically longer and less predictable than private credit.
  • Structural risk. Facilities may be secured, may include cash-management or account-control provisions, and may include covenants, guarantees, sponsor support, or recourse features. Descriptions of non-recourse structures on this website are general. Any non-recourse characterization is subject to customary carve-outs and applies only as set out in the executed documents for a specific transaction.
  • No assurance of outcome. There is no assurance that any inquiry will result in a term sheet, that any term sheet will result in a closing, or that any financing, advisory engagement, or federal program application will be approved, funded, or completed. Past transactions are not indicative of future results.
IV.Eligibility — AI Infrastructure Finance

Radford works exclusively with institutional and commercial counterparties. We do not offer consumer, retail, personal, household, or residential credit of any kind, and we do not extend credit to individuals in a personal capacity. Any inquiry that appears to be for consumer purposes will be declined.

To be considered for private financing, a prospective borrower must generally:

  • Be a corporation, limited liability company, partnership, fund, or other legal entity operating for business purposes, with the authority and internal approvals to borrow and to grant security.
  • Be seeking financing for business, commercial, or project purposes in the approximate range of $25M to $250M per facility, with larger structures considered on a syndicated basis.
  • Identify collateral we can diligence and perfect a security interest in — equipment, contracted revenue, supplier deposits, or project assets — supported by invoices, purchase orders, and contracts.
  • Provide audited or reviewed financial statements where available, plus organizational documents, ownership and control information, and a project or deployment model.
  • Complete know-your-customer, beneficial-ownership, sanctions, anti-money-laundering, and anti-bribery screening for the entity and its principals, and satisfy ongoing reporting requirements.
  • Not be located in, organized in, owned or controlled by persons in, or transacting from a sanctioned or restricted jurisdiction, and not appear on any applicable restricted-party list.

Eligibility criteria are indicative and non-exhaustive. Meeting them does not entitle any party to financing or to a term sheet, and Radford may decline any inquiry or transaction at its sole discretion and without stating a reason.

V.Eligibility — Federal-Backed Advisory

Federal-backed advisory engagements are subject to the requirements of the relevant agency in addition to our own. Agency criteria govern and change from time to time; the summary below is a general orientation only and is not a statement of any agency's rules.

  • Institutional or commercial sponsors and project companies only. Transaction sizes typically range from approximately $50M to $2B.
  • A credible nexus to the relevant program — for example U.S. export content, sourcing, or a supported development or energy objective — evidenced by contracts, supplier documentation, and a defensible project plan.
  • A defined project with identified offtake or revenue contracts, site control, permitting pathway, and power or interconnection strategy where applicable.
  • Sponsor equity, technical capability, and operating history sufficient for agency and lender diligence, together with independent engineering, environmental, and social review as required by the program.
  • Willingness to accommodate longer timelines, agency documentation standards, environmental and social safeguards, reporting and audit rights, and any applicable local-content, labor, or procurement conditions.
  • Full sanctions, anti-corruption, anti-money-laundering, and restricted-party compliance for the sponsor, project, suppliers, and offtakers, and eligibility of the relevant country or counterparty under the applicable program.

Radford's role in these engagements is origination, structuring, and advisory support. Radford does not decide program eligibility and cannot commit any agency or lender to any outcome, timeline, pricing, or amount.
